Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Biocentric Group LLC, a New Mexico limited liability company, operating as NGO Expansion (“NGO Expansion,” “we,” “us,” or “our”). These Terms govern your access to and use of our website located at ngoexpansion.com (the “Site”) and all services provided through the Site (collectively, the “Services”).

By accessing or using our Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Site or Services.

2. Description of Services

NGO Expansion provides consulting and implementation services to help nonprofit organizations secure and maximize benefits from Google for Nonprofits grants, including:

• Eligibility assessment and verification services
• Application preparation and submission management
• Google Workspace for Nonprofits setup and configuration
• Google Ad Grants account creation and campaign setup
• YouTube Nonprofit setup and optimization
• Training and educational resources
• Ongoing campaign management and optimization (optional)
• Technical support and consulting services

3. Eligibility

3.1 Client Eligibility

To use our Services, your organization must:

• Be a registered 501(c)(3) nonprofit organization in the United States or meet equivalent nonprofit status requirements in your country
• Have valid nonprofit status documentation
• Comply with Google for Nonprofits eligibility requirements
• Provide accurate and complete information about your organization
• Not be engaged in activities prohibited by Google for Nonprofits policies

3.2 User Age Requirement

You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organization to use our Services.

3.3 Account Registration

You may be required to create an account to access certain Services. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your login credentials confidential and secure
• Notify us immediately of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

4. Services and Deliverables

4.1 Service Packages

We offer various service packages as described on our Site. Each package includes specific deliverables and timelines. Service details, including scope, deliverables, and pricing, will be outlined in a separate Service Agreement or Statement of Work.

4.2 Service Timeline

While we strive to complete services within estimated timeframes, actual timelines may vary based on:

• Google for Nonprofits approval processes
• Client responsiveness and provision of required materials
• Complexity of implementation requirements
• Third-party dependencies and technical issues

We are not responsible for delays caused by factors outside our reasonable control.

4.3 Client Responsibilities

To receive our Services, you agree to:

• Provide all necessary documentation, information, and materials in a timely  manner
• Ensure that all the data provided is truthful
• Respond promptly to our requests and communications
• Grant necessary access to accounts, domains, and systems
• Cooperate with implementation and training processes
• Comply with all Google for Nonprofits terms, policies, and requirements
• Maintain active and good standing nonprofit status

4.4 No Guarantee of Approval

While we have a strong track record of successful applications, we cannot guarantee that Google will approve your organization for Google for Nonprofits or any specific program. Approval decisions are made solely by Google and are subject to their eligibility requirements and policies. NGOExpansion.com is an independent consultant (not google). 

5. Fees and Payment

5.1 Pricing

Service fees are as stated on our Site or in your Service Agreement. All prices are in U.S. Dollars unless otherwise specified.

5.2 Payment Terms

• One-Time Setup Fees: Due upon execution of Service Agreement or as otherwise specified
• Monthly Fees: Due in advance on the first day of each month
• Payment Methods: We accept credit cards, debit cards, and other payment methods as specified during checkout
• Automatic Renewal: Monthly services will automatically renew unless cancelled in accordance with Section 5.5

5.3 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties. You are responsible for paying all applicable taxes associated with your purchase.

5.4 Late Payment

If payment is not received when due, we reserve the right to:

• Suspend or terminate Services
• Charge interest on overdue amounts at 1.5% per month (or the maximum rate permitted by law, whichever is less)
• Pursue collection of unpaid amounts, including reasonable attorney fees and costs

5.5 Cancellation and Refunds

• Setup Services: If our initial eligibility assessment determines you are not qualified for Google for Nonprofits, we will refund 100% of your fee before the application work begins.
• Monthly Services: May be cancelled with 30 days’ written notice. No refunds for partial months
• Refund Requests: Must be submitted in writing to billing@ngoexpansion.com
• No Refunds for Google Decisions: No refunds will be issued if Google denies your application for reasons outside our control

5.6 Price Changes

We reserve the right to change our pricing at any time. Price changes for existing clients will be communicated at least 30 days in advance and will take effect at the next billing cycle.

6. Intellectual Property Rights

6.1 Our Property

The Site and Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by Biocentric Group LLC or our licensors and are protected by United States and international intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Site and Services for their intended purpose. This license does not include the right to:

• Modify, copy, distribute, or create derivative works
• Reverse engineer, decompile, or disassemble any portion of the Services
• Use any automated systems (bots, scrapers, etc.) to access the Site
• Remove or alter any proprietary notices or labels

6.3 Client Materials

You retain all ownership rights to materials you provide to us (“Client Materials”). By providing Client Materials, you grant us a limited license to use, reproduce, and modify such materials solely for the purpose of providing Services to you.

6.4 Work Product

Materials we create specifically for you as part of our Services (“Work Product”) will be owned by you upon receipt of full payment, except for:

• Pre-existing materials and templates
• General methodologies and processes
• Knowledge and experience gained

We retain the right to use general knowledge, skills, and experience gained from providing Services to you.

6.5 Feedback

If you provide us with suggestions, ideas, or feedback about our Services, you grant us an unlimited, perpetual, irrevocable license to use such feedback without compensation or attribution.

7. Confidentiality

7.1 Confidential Information

Each party agrees to maintain the confidentiality of the other party’s confidential information, including:

• Business strategies and financial information
• Technical data and trade secrets
• Client lists and organizational information
• Login credentials and access information

7.2 Exceptions

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no breach of these Terms
• Was rightfully known prior to disclosure
• Is independently developed without use of confidential information
• Must be disclosed pursuant to legal requirement

7.3 Duration

Confidentiality obligations survive termination of these Terms for a period of three (3) years.

8. Representations and Warranties

8.1 Your Representations

You represent and warrant that:

• You have the legal authority to enter into these Terms
• All information you provide is accurate and complete
• Your organization maintains valid nonprofit status
• You will comply with all applicable laws and Google policies
• You will not use our Services for any unlawful purpose

8.2 Our Warranties

We warrant that:

• We will provide Services in a professional and workmanlike manner
• We have the necessary expertise and authority to provide Services
• Our Services will not infringe upon third-party intellectual property rights

8.3 Disclaimer of Warranties

EXCEPT AS EXPRESSLY STATED IN SECTION 8.2, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• Services will be uninterrupted, timely, secure, or error-free
• Results obtained from Services will be accurate or reliable
• Quality of Services will meet your expectations
• All errors or defects will be corrected

9. Limitation of Liability

9.1 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIOCENTRIC GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 Cap on Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $500, WHICHEVER IS GREATER.

9.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Biocentric Group LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your use of our Services
• Any misrepresentation or breach of warranty by you
• Any claim that your Client Materials infringe or violate third-party rights

11. Term and Termination

11.1 Term

These Terms commence when you first access or use our Services and continue until terminated in accordance with this Section.

11.2 Termination by You

You may terminate these Terms at any time by:

• Discontinuing use of our Services
• Closing your account (if applicable)
• Providing written notice of cancellation for ongoing services (subject to Section 5.5)

11.3 Termination by Us

We may suspend or terminate your access to Services immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• You fail to pay fees when due
• Your organization loses nonprofit status
• We are required to do so by law
• We cease providing Services

11.4 Effect of Termination

Upon termination:

• Your right to access and use Services immediately ceases
• You remain liable for all fees incurred prior to termination
• We may delete your account and data after 30 days
• Sections 6 (Intellectual Property), 7 (Confidentiality), 8.3 (Disclaimer), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Dispute Resolution) survive termination

12. Modifications to Terms and Services

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our Site
• Updating the “Last Updated” date
• Sending email notification (for material changes)

Your continued use of Services after changes take effect constitutes acceptance of the modified Terms.

12.2 Changes to Services

We may modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuance of Services.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.

13.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@ngoexpansion.com to attempt to resolve any dispute, claim, or controversy informally.

13.3 Arbitration Agreement

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms or Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in New Mexico, and judgment on the arbitration award may be entered in any court having jurisdiction.

YOU UNDERSTAND AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND BIOCENTRIC GROUP LLC ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION.

13.4 Exceptions to Arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

13.5 Venue

If arbitration does not apply, you agree that any legal action shall be brought exclusively in the federal or state courts located in New Mexico, and you consent to personal jurisdiction in such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement, constitute the entire agreement between you and Biocentric Group LLC regarding our Services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

14.4 Assignment

You may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may freely assign these Terms without restriction. Any attempted assignment in violation of this section is void.

14.5 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Biocentric Group LLC. You have no authority to bind us or make commitments on our behalf.

14.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

14.7 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to:

Notices are deemed received when sent by email or three (3) business days after mailing.

14.8 Export Controls

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. government embargo or designated as a “terrorist supporting” country, and that you are not on any U.S. government list of prohibited or restricted parties.

14.9 Third-Party Services

Our Services may integrate with third-party services (including Google services). Your use of such third-party services is subject to their respective terms and conditions, and we are not responsible for any third-party services.

14.10 Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

14.11 Language

These Terms are provided in English. Any translations are for convenience only. In case of conflict, the English version prevails.

16. Acknowledgment

BY USING OUR SITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE OUR SITE OR SERVICES.
